本規約は、ハウススタジオアールインコーポレイテッド(以下「当社」といいます。)が提供する「WVVD™︎ Music Distribution」(以下「本サービス」といいます。)の利用条件を定めるものです。

第1条(適用)

利用者は、本規約、当社が別途定める配信ガイドライン、および当社プライバシーポリシーに同意したうえで本サービスを利用するものとします。

第2条(サービス内容)

本サービスは、利用者から提供された音源、アートワーク、メタデータその他のコンテンツを、当社または当社提携先を通じて音楽配信サービスへ流通させる配信代行サービスです。

当社は、利用者に対し配信開始時期、掲載順位、販売数、再生数その他の成果を保証するものではありません。

第3条(契約の成立)

利用者が当社所定の申込手続きを行い、当社が承認した時点で利用契約が成立するものとします。

当社は、審査の結果その他の理由により申込を承認しない場合があります。なお、当社はその理由を開示する義務を負いません。

利用者が未成年者の場合、親権者その他の法定代理人の同意を得たうえで本サービスを利用するものとします。未成年者が本規約に同意して利用を開始した場合、法定代理人の同意を得たものとみなします。

第4条(契約期間)

本サービスの事業年度は毎年4月1日から翌年3月31日までとします。

新規契約者は、提携配信事業者との取引条件に基づき、初回に最低3期分の契約継続に同意するものとします。初回契約期間は、申込月が属する事業年度の末日(3月31日)までの期間に、翌期から起算した2期分(2年間)を加えた期間とします。

(例)2026年10月に申込の場合:2026年10月〜2029年3月31日まで(30か月)

4期目以降は1期単位の更新契約とし、利用者が所定の更新料を支払った時点で更新契約が成立するものとします。

第5条(料金)

利用料金は当社が別途定める料金表によるものとします。

利用者は、契約プランに応じた契約料および必要な手数料を支払うものとします。

新規契約時には契約料に加え登録事務手数料が発生します。

支払済みの利用料金および手数料は、本規約に定める場合を除き返金されません。

第6条(更新および未払い)

本サービスは自動更新されません。

当社は毎年3月に契約更新の案内を行い、利用者がクレジットカード決済または銀行振込により更新料を支払った時点で契約更新が成立するものとします。

利用者が解約の意思表示を行わず、更新期限までに料金を支払わない場合、当社は事前通知なくサービス提供を停止することができます。

未払い状態が継続している期間中、利用者はロイヤリティの支払いを請求することができません。停止期間中に発生したロイヤリティは、利用者が未払い料金および再開手数料を完済した時点で、当社が精算のうえ支払うものとします。

停止後に契約を再開する場合、利用者は当社所定の契約更新料(停止期間の長さにかかわらず直近1期分)に加え、アカウント再開手数料として5,000円(税別)を支払うものとします。

当社は、長期間にわたり利用者と連絡が取れない場合、または未払い状態が継続する場合、利用者への通知なく利用契約を解除することができます。契約解除の場合、当社は未払い料金等を控除した後の残余ロイヤリティを精算するものとします。ただし、当社が合理的な手段を尽くして通知を試みても利用者と連絡が取れず、かつ契約解除通知の発信日から24か月以内にロイヤリティの請求が行われない場合、当該ロイヤリティの請求権は消滅するものとします。

第7条(プラン)

アーティスト単身プランは、契約時に登録した1アーティスト名義のみ利用することができます。契約期間中のアーティスト名変更は認められません。共同名義、別名義または追加名義による配信はできません。

レーベルオーナープランは、当社が別途定める配信運用上の制限を除き、複数アーティストおよび複数リリースを取り扱うことができます。

契約期間中のプラン変更はできません。

第8条(名義・知的財産および権利の帰属)

配信作品に関する著作権(作詞・作曲に関する権利)および著作隣接権(録音・原盤に関する権利、以下「原盤権」といいます。)はいずれも利用者に帰属します。

アーティスト単身プランにおいて配信される作品は、WVVD™︎RECORDS名義により流通されます。各配信先サービスにおける©および℗の表示はいずれもWVVD™︎RECORDSとなります。ただし、これらの表示は本サービスを通じた流通に際するレーベル表示上の取り扱いにすぎず、前項に定める著作権および原盤権の当社への移転、譲渡または当社への帰属を意味するものではありません。

レーベルオーナープランにおいては、利用者が登録したレーベル名義により流通されます。この場合、当社名称およびWVVD™︎RECORDSの表記は各配信先サービス上に表示されません。

当社がアーティスト単身プランの配信に際し使用するアートワーク、デザイン、ロゴその他のビジュアル素材(以下「当社デザイン素材」といいます。)に関する知的財産権は当社に帰属します。

利用者は、自己のSNSアカウント、ブログ、ウェブサイトその他の媒体において、配信作品の紹介・告知・広報を目的として当社デザイン素材を使用することができます。

ただし、当社デザイン素材の改変(トリミング、加工、合成その他の変形を含みます。)および営利を目的とした使用(有償広告への掲載、商品化、販売物への組み込み等を含みます。)は禁止します。これら以外の用途での使用を希望する場合は、当社の事前承諾を必要とします。

第9条(権利保証)

利用者は、当社に提供するすべてのコンテンツについて、必要な権利を有していることを保証するものとします。

利用者は、当該コンテンツが第三者の著作権、著作者人格権、商標権、肖像権その他一切の権利を侵害していないことを保証するものとします。

利用者は、配信申請を行うたびに、当社所定のオンライン確認フローを通じてこれらの事項について明示的に同意するものとします。

第10条(利用許諾)

利用者は当社に対し、本サービスの提供に必要な範囲において、配信音源データを利用する非独占的かつ譲渡不能の利用権を許諾するものとします。

本条に基づく利用許諾は音楽配信の目的に限定されるものとし、利用者は同一作品を他の配信事業者または自らの手段により利用することを妨げられません。

当社デザイン素材は本条の利用許諾の対象に含まれず、その利用については第8条の定めに従うものとします。

第11条(ロイヤリティおよびレポート)

配信によって得られた収益から、配信先サービスその他の手数料を控除した後の粗ロイヤリティの20%を販売流通手数料として当社が取得します。残額の80%を利用者へのロイヤリティとします。

ロイヤリティレポートは、プランに応じて以下の各末日にCSVフォーマットにて発行します。発行されたレポートは、本サービスのユーザー専用画面からいつでも閲覧およびダウンロードすることができます。

ロイヤリティは米ドル建てで集計するものとし、日本円へ換算のうえ支払うものとします。日本円への換算に用いる為替レートおよび換算方法は、当社が合理的に定める方法によるものとします。当社は必要に応じて当該換算方法を変更することができるものとします。

レーベルオーナープランにおいては、累計ロイヤリティが100USDに達した場合、当社はレポート発行月の翌月末を目途に利用者指定の銀行口座へ日本円にて振り込みます。

レーベルオーナープランにおいて累計ロイヤリティが100USDに満たない場合は、次回のレポート発行月へ繰り越されます。

アーティスト単身プランにおいては、前2項の100USDの基準による期中の支払いは行わず、毎年3月末日締めのレポートに基づき、翌4月末日を目途に1年間分のロイヤリティを利用者指定の銀行口座へ日本円にてまとめて振り込みます。

レーベルオーナープランの利用者が当社所定のブレイクオプションを利用している期間においては、累計ロイヤリティが100USDに達した場合であっても期中の支払いは行わず、前項に定めるアーティスト単身プランと同様の方法により支払うものとします。

いずれの場合も、振込手数料は当社が負担します。

毎年3月末日締めのレポートに限り、累計ロイヤリティの多寡にかかわらず全額を支払い、当該年度の繰越残高をゼロとします。ただし、当該3月末日締めの段階で累計ロイヤリティが500円に満たない場合に限り、繰越残高のリセットを行わず、次期へ繰り越すものとします。これにより、利用者は本サービス契約中、原則として年に一度ロイヤリティを受け取ることができます。

第12条(ロイヤリティ調整)

配信先サービスによる不正再生の認定、チャージバック、返金処理その他の事由によりロイヤリティが減額された場合、当社は将来発生するロイヤリティから当該減額分を相殺することができます。不正再生の認定基準は各配信先サービスの規約および判断に準じるものとします。

当社は、不正行為の疑いがあると判断した場合、事実確認が完了するまでの間、事前通知なくロイヤリティの支払いを一時的に保留することができます。調査の結果、不正行為が認められなかった場合、当社は速やかに保留分の支払いを行うものとします。

第13条(禁止事項)

利用者は以下の行為を行ってはなりません。

  1. 権利侵害コンテンツの配信
  2. 虚偽情報の申告
  3. ボット、自動化ツール、外部サービスその他人為的手段による再生数・購入数の不正操作(不正ストリーミング)
  4. 法令または公序良俗に反する行為
  5. その他前各号に準ずる行為または本サービスの運営を妨げる行為

第14条(配信停止等)

当社は、利用者が本規約に違反した場合、事前通知なく作品の配信停止、削除、アカウント停止または契約解除を行うことができます。

利用者が第13条第3号(不正ストリーミング)に違反した場合、当社は配信停止およびアカウント停止に加え、当該行為により当社が被った損害の賠償を請求することができます。

第15条(損害賠償)

利用者の行為により当社または第三者に損害が発生した場合、利用者はその損害を賠償する責任を負うものとします。

特に、利用者が第三者の権利を侵害するコンテンツを配信したことに起因して当社が紛争対応費用、損害補填その他の損失を被った場合、利用者はその一切を賠償するものとします。

第16条(契約終了)

利用者はいつでも解約を申し出ることができます。解約は当社が申し出を受領した月の末日をもって効力を生じるものとし、解約時において既払料金は返金されません。

初回契約期間(第4条に定める最低3期分の期間)が満了する前に解約を申し出た場合、提携配信事業者との取引条件により一部ストアからの配信削除を直ちに行うことができません。この場合、当該ストアにおける配信削除は初回契約期間の満了後に順次行うものとします。初回契約期間内の解約申し出に伴う既払料金の返金は行いません。

当社は各配信先サービスに対し配信停止および削除申請を行います。削除完了までの期間は各配信先サービスにより異なりますが、概ね1.5ヶ月から3ヶ月を要するものとします。

解約後、本サービスを通じて配信された作品(リリースデータおよびカタログ)を他の音楽配信事業者への移管手続きはおこないません。

配信作品に使用されたISRC(国際標準レコーディングコード)は、両プランともに利用者への発行・開示を行います。EAN(JANコード)については、両プランともに発行・開示は行いません。また、いずれのコードも契約終了後における再利用、転用または他の音楽配信事業者への引き継ぎはいたしません。

第17条(配信終了後の取扱い)

利用者は、インターネット上に公開されたコンテンツについて、配信停止後も一部の情報、履歴、アーカイブ等が残存する場合があることを理解し承諾するものとします。

第三者による転載、再配布、無断利用その他当社の管理外で行われる行為について、当社は責任を負いません。当社が行使する削除申請は、本サービスを通じて配信を行った配信先ストアのアカウント内に限られます。

第18条(サービス内容の変更)

当社は、本サービスが対応する配信先プラットフォームの追加・変更・削除を、利用者への事前通知なく当社の裁量により行うことができます。当該変更に起因して生じた損害について、当社は責任を負いません。

第19条(規約の変更)

当社は、必要に応じて本規約の内容を変更することができます。変更後の規約は、当社が本サービスの公式ウェブサイトまたはメール等の方法により利用者へ通知した日から30日を経過した後に効力を生じるものとします。

変更に同意しない利用者は、変更の効力発生日の前日までに解約の申し出を行うことができます。変更の効力発生日以降も本サービスの利用を継続した場合、変更後の規約に同意したものとみなします。

第20条(不可抗力)

天災地変、戦争、感染症のまん延、サーバー障害、通信インフラの障害、法令の改廃、行政機関の措置、配信先プラットフォームの仕様変更またはサービス終了その他当社の合理的な支配を超える事由により、本サービスの提供が遅延しまたは不能となった場合、当社は利用者に対し責任を負いません。

第21条(個人情報の取扱い)

当社は、本サービスの利用において取得した利用者の個人情報を、当社が別途定めるプライバシーポリシーに従い適切に管理します。

第22条(反社会的勢力の排除)

利用者は、自らまたは関係者が暴力団、暴力団員、暴力団準構成員、暴力団関係企業、総会屋その他の反社会的勢力に該当しないことを表明し保証するものとします。

利用者が本条に違反した場合または違反が判明した場合、当社は事前通知なく即座に利用契約を解除することができます。この場合においても、当社は利用者に対し損害賠償を請求することができます。

第23条(事業終了)

当社が本サービスを終了する場合、当社は合理的な期間をもって利用者へ通知するものとします。

未払ロイヤリティが存在する場合は、事業終了時点で精算を行います。

第24条(利用者の死亡)

利用者が死亡した場合、その相続人は、死亡を証明する書類および相続関係を証明する書類を当社に提出のうえ、契約の承継または解約を申し出ることができます。

契約を承継する場合、相続人は本規約に同意したうえで当社所定の手続きを行うものとします。解約を申し出る場合は、第16条の規定を準用します。

当社が利用者の死亡を知った時点から24か月以内に相続人からの申し出がない場合、当社は利用契約を終了することができます。

終了時点において発生している未払いロイヤリティは、申し出のあった相続人が所定の書類を提出した時点で精算し、指定口座へ支払うものとします。

第25条(免責および責任制限)

当社は、次の各号に該当する事由により利用者に損害が生じた場合、その責任を負いません。

  1. 各配信先サービスの障害、ポリシー変更、仕様変更、サービス終了その他配信先サービスに起因する事由
  2. 第三者による不正アクセス、無断転載、著作権侵害その他当社の管理外で行われる行為
  3. 利用者が申告した情報の誤り、メタデータの不備その他利用者自身の行為に起因する事由
  4. 本サービスに起因して生じた逸失利益、機会損失、間接損害またはその他の派生的損害

当社が利用者に対して損害賠償責任を負う場合、当社の故意または重大な過失によるものを除き、その賠償額は利用者が当該事業年度において当社に支払った利用料金の総額を上限とします。

当社の故意または重大な過失による場合は、実際に生じたことが証明された直接かつ通常の損害の範囲において責任を負うものとします。

第26条(準拠法および管轄)

本規約は日本法に準拠します。

本サービスに関する一切の紛争については、福岡地方裁判所を第一審の専属的合意管轄裁判所とします。

WVVD™︎ Music Distribution

These Terms of Service (hereinafter “these Terms”) govern the use of “WVVD™︎ Music Distribution” (hereinafter “the Service”) provided by House Studio R Incorporated (hereinafter “we,” “us,” or “the Company”).

Article 1. Applicability

By using the Service, Users agree to these Terms, the Distribution Guidelines established separately by the Company, and the Company’s Privacy Policy.

Article 2. Description of Service

The Service is a music distribution service that delivers audio recordings, artwork, metadata, and other content provided by Users to music streaming and download platforms through the Company or its affiliated partners.

The Company makes no guarantee regarding release dates, playlist placement, sales figures, stream counts, or any other outcome or result.

Article 3. Formation of Agreement

A service agreement is formed when a User completes the Company’s designated application process and the Company approves the application.

The Company may decline any application based on the results of its screening process or for any other reason. The Company is under no obligation to disclose the reason for any such refusal.

If a User is a minor, they must obtain the consent of a parent or legal guardian before using the Service. If a minor agrees to these Terms and begins using the Service, it shall be deemed that the required consent has been obtained.

Article 4. Contract Period

The Company’s fiscal year runs from April 1 to March 31 of the following year.

New subscribers are required to commit to a minimum of three (3) consecutive fiscal periods as a condition of trade with certain affiliated distribution platforms (hereinafter “Initial Contract Period”). The Initial Contract Period begins on the date of sign-up and ends on the last day of the fiscal year in which the sign-up month falls (March 31), plus two (2) additional full fiscal years.

(Example) If signing up in October 2026: the Initial Contract Period runs from October 2026 through March 31, 2029 (30 months).

From the fourth fiscal period onward, the agreement shall be renewed on a one-year basis, taking effect upon the User’s payment of the applicable renewal fee.

Article 5. Fees

Service fees are as set forth in the Company’s separately published fee schedule.

Users shall pay the subscription fee and any applicable charges corresponding to their selected plan.

A registration fee applies at the time of initial sign-up, in addition to the subscription fee.

Fees and charges already paid are non-refundable except as expressly stated in these Terms.

Article 6. Renewal and Non-Payment

The Service does not renew automatically.

Each March, the Company will send renewal reminders to Users. A renewal is deemed effective upon the User’s payment of the applicable renewal fee by credit card or bank transfer.

If a User fails to pay by the renewal deadline without notifying the Company of their intent to cancel, the Company may suspend all services without prior notice.

During any period of non-payment, the User may not claim royalty payments. Royalties accrued during any period of suspension shall be settled and paid to the User upon full payment of all outstanding fees and reactivation charges.

To reactivate a suspended account, the User shall pay one (1) year’s renewal fee (regardless of the length of the suspension period), plus an account reactivation fee of ¥5,000 (excluding tax).

If the Company is unable to contact a User for an extended period, or if non-payment continues, the Company may terminate the service agreement without prior notice. In the event of termination, the Company shall settle any remaining royalties after deducting all outstanding fees and other amounts owed. However, if the Company is unable to reach the User despite reasonable attempts to do so, and no royalty claim is made within twenty-four (24) months of the date on which the termination notice was issued, all rights to claim such royalties shall be deemed to have expired.

Article 7. Plans

The Solo Artist Plan is limited to use under a single artist name registered at the time of sign-up. Changes to the registered artist name are not permitted during the contract period. Distribution under joint, alternative, or additional artist names is not permitted.

The Label Owner Plan allows distribution of multiple artists and multiple releases, subject to any operational restrictions separately defined by the Company.

Plan changes are not permitted during the contract period.

Article 8. Credits, Intellectual Property, and Rights

All copyrights (rights relating to composition and lyrics) and neighboring rights (rights relating to sound recordings and masters, hereinafter “Master Rights”) in distributed works remain with the User.

Works distributed under the Solo Artist Plan are released under the WVVD™︎RECORDS label. The © and ℗ credits displayed on all distribution platforms will appear as WVVD™︎RECORDS. However, these credits are used solely as a label display convention in connection with the Service and do not constitute a transfer, assignment, or attribution to the Company of any copyright or Master Rights as defined in the preceding paragraph.

Works distributed under the Label Owner Plan are released under the label name registered by the User. In this case, the Company’s name and the WVVD™︎RECORDS designation shall not appear on any distribution platform.

All intellectual property rights in the artwork, designs, logos, and other visual materials used by the Company in connection with Solo Artist Plan releases (hereinafter “Company Design Materials”) belong to the Company.

Users may use Company Design Materials freely on their own social media accounts, blogs, websites, and other personal media for the purpose of promoting or sharing information about their distributed works.

However, modification of Company Design Materials (including cropping, editing, compositing, or any other alteration) and use for commercial purposes (including placement in paid advertisements, merchandise production, or incorporation into products for sale) are prohibited. Any use beyond the above requires the Company’s prior written consent.

Article 9. Representations and Warranties

Users represent and warrant that they hold all rights necessary in all content submitted to the Company.

Users represent and warrant that such content does not infringe upon the copyright, moral rights, trademark rights, publicity rights, or any other rights of any third party.

Users shall explicitly confirm and agree to the foregoing through the Company’s designated online confirmation process each time a distribution request is submitted.

Article 10. License Grant

Users grant the Company a non-exclusive, non-transferable license to use submitted audio recordings to the extent necessary for the provision of the Service.

The license granted under this Article is limited solely to music distribution purposes. Users are not restricted from distributing the same works through other distribution services or by their own means.

Company Design Materials are not subject to the license granted under this Article; their use is governed by Article 8.

Article 11. Royalties and Reports

The Company shall retain 20% of gross royalties—calculated after deduction of platform fees and other charges—as a distribution fee. The remaining 80% shall be paid to the User as royalties.

Royalty reports shall be issued in CSV format by the last day of the following months, based on the User’s plan:

March, June, September, and December each year
Label Owner Plan
March, June, September, and December each year

Issued reports may be viewed and downloaded at any time from the User’s dedicated account page on the Service.

Royalties are calculated in US dollars and converted into Japanese yen for payment. The exchange rate and conversion method shall be determined by the Company using a commercially reasonable methodology. The Company reserves the right to amend this methodology as necessary.

Under the Label Owner Plan, when cumulative royalties reach USD 100, the Company will transfer the full amount in Japanese yen to the User’s designated bank account, as a rule by the end of the month following the report month.

Under the Label Owner Plan, if cumulative royalties are below USD 100, the balance will be carried over to the next report period.

Under the Solo Artist Plan, no interim payments based on the USD 100 threshold set forth in the preceding two paragraphs are made; instead, royalties for the year are paid in a lump sum in Japanese yen to the User’s designated bank account, as a rule by the end of April each year, based on the report closed at the end of March.

While a User of the Label Owner Plan is enrolled in the Company’s Break Option, no interim payments are made even if cumulative royalties reach USD 100, and royalties shall be paid in the same manner as under the Solo Artist Plan described in the preceding paragraph.

In all cases, bank transfer fees are covered by the Company.

For the March year-end report only, the full royalty balance will be paid out regardless of amount, and the carried-over balance will be reset to zero. However, if the cumulative royalty balance is less than JPY 500 as of the said March closing date, the balance will not be reset and will instead be carried over to the following period. This ensures that, as a general rule, Users receive at least one royalty payment per fiscal year while the Service agreement is active.

Article 12. Royalty Adjustments

If royalties are reduced due to a determination of fraudulent streaming by a distribution platform, a chargeback, a refund, or any other cause, the Company may offset the reduced amount against future royalties. The criteria for determining fraudulent streaming shall follow the terms and policies of the applicable distribution platform.

If the Company determines that fraudulent activity is suspected, it may temporarily withhold royalty payments without prior notice until the investigation is complete. If the investigation concludes that no fraudulent activity occurred, the Company shall promptly release the withheld payment.

Article 13. Prohibited Activities

Users must not engage in any of the following:

  1. Distribution of content that infringes third-party rights
  2. Submission of false or misleading information
  3. Artificial manipulation of stream counts or purchase numbers through bots, automation tools, third-party services, or any other artificial means (fraudulent streaming)
  4. Any act that violates applicable laws or regulations, or public order and morality
  5. Any act substantially similar to the foregoing, or any act that disrupts or interferes with the operation of the Service

Article 14. Suspension and Termination by the Company

If a User violates these Terms, the Company may, without prior notice, suspend or remove any distributed works, suspend the User’s account, or terminate the service agreement.

If a User violates Article 13, Item 3 (fraudulent streaming), the Company may, in addition to suspending distribution and the User’s account, seek compensation for any damages incurred as a result of such violation.

Article 15. Indemnification

If any act by a User causes damage to the Company or any third party, the User shall be liable for all such damages.

In particular, if the Company incurs legal costs, damage payments, or any other losses as a result of a User distributing content that infringes the rights of any third party, the User shall fully indemnify the Company for all such losses.

Article 16. Cancellation

Users may request cancellation at any time. Cancellation takes effect on the last day of the month in which the Company receives the cancellation request. Fees already paid are non-refundable.

If a User requests cancellation before the Initial Contract Period (minimum three fiscal periods as defined in Article 4) has expired, the Company may be unable to immediately remove distributed works from certain platforms due to obligations with affiliated distribution services. In such cases, removal from those platforms will be carried out in sequence after the Initial Contract Period has ended. Fees paid during the Initial Contract Period are non-refundable regardless of when cancellation is requested.

The Company shall submit takedown and removal requests to all applicable distribution platforms. The time required for complete removal varies by platform but typically takes between approximately six (6) weeks and three (3) months.

Following cancellation, the Company does not provide transfer or migration services for any distributed works (including release data and catalog) to other music distribution services.

ISRC (International Standard Recording Code) codes assigned to distributed works are available for disclosure to Users under both plans. EAN (JAN Code) codes will not be issued or disclosed under either plan. Neither code type will be reused, repurposed, or transferred to another music distribution service after the contract ends.

Article 17. Post-Distribution Handling

Users acknowledge and accept that even after distribution has ended, certain information, streaming history, archive data, and similar content relating to their works may remain accessible online for an indefinite period of time.

The Company is not responsible for any unauthorized reproduction, redistribution, or use of content by third parties, or any other acts occurring outside the Company’s control. Takedown requests submitted by the Company are limited to the accounts on distribution platforms through which the content was originally distributed via the Service.

Article 18. Changes to Service Content

The Company may add, modify, or remove supported distribution platforms at its sole discretion and without prior notice to Users. The Company shall not be liable for any damages arising from such changes.

Article 19. Amendments to These Terms

The Company may amend these Terms at any time as it deems necessary. Amended Terms shall take effect thirty (30) days after the Company notifies Users via the Service’s official website, email, or other appropriate means.

Users who do not agree to the amended Terms may cancel the Service before the day the amendment takes effect. Continued use of the Service after the effective date of any amendment shall be deemed acceptance of the amended Terms.

Article 20. Force Majeure

The Company shall not be liable to Users for any delay in or inability to provide the Service caused by circumstances beyond the Company’s reasonable control, including but not limited to natural disasters, war, pandemic or epidemic, server failures, telecommunications infrastructure outages, changes in laws or regulations, governmental actions, or changes to the specifications or termination of any distribution platform.

Article 21. Personal Information

The Company shall manage all personal information collected from Users in connection with the Service in accordance with the Company’s separately published Privacy Policy.

Article 22. Exclusion of Antisocial Forces

Users represent and warrant that neither they nor any of their associates belong to or are affiliated with any organized crime group, organized crime group member, quasi-member, organization affiliated with an organized crime group, corporate racketeer, or any other antisocial force.

If a User is found to be in violation of this Article, the Company may immediately terminate the service agreement without prior notice. The Company reserves the right to seek compensation for any damages suffered as a result.

Article 23. Business Closure

If the Company ceases operation of the Service, it shall provide Users with reasonable advance notice.

Any outstanding unpaid royalties shall be settled at the time of business closure.

Article 24. Death of User

In the event of a User’s death, their legal heir(s) may submit the required documentation—including proof of death and proof of succession—to the Company, and request either continuation of the agreement or cancellation.

To continue the agreement, the heir must agree to these Terms and complete the Company’s designated procedures. Cancellation requests shall be handled in accordance with Article 16.

If no heir makes contact within twenty-four (24) months of the date on which the Company becomes aware of the User’s death, the Company may terminate the service agreement.

Any outstanding royalties as of the date of termination shall be settled and transferred to the designated bank account of the heir upon submission of the required documentation.

Article 25. Disclaimer and Limitation of Liability

The Company shall not be liable for any damages suffered by a User arising from:

  1. Service outages, policy changes, specification changes, or service termination by any distribution platform
  2. Unauthorized access, unauthorized reproduction, copyright infringement, or any other acts committed by third parties outside the Company’s control
  3. Errors in information submitted by the User, incomplete or inaccurate metadata, or any other acts attributable to the User
  4. Any lost profits, loss of opportunity, indirect damages, or other consequential damages arising in connection with the Service

Where the Company bears liability for damages to a User, and except in cases of willful misconduct or gross negligence on the part of the Company, the Company’s total liability shall not exceed the total amount of service fees paid by the User in the relevant fiscal year.

In cases involving willful misconduct or gross negligence on the part of the Company, the Company’s liability shall extend to direct and ordinary damages actually proven to have been incurred.

Article 26. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of Japan.

Any and all disputes arising in connection with the Service shall be subject to the exclusive jurisdiction of the Fukuoka District Court as the court of first instance.
